Terms of Service

These Terms of Service ("Terms") govern your use of the Indelio platform (the "Service"), operated by Reshawn Holdings LLC d/b/a Voxelio AI ("Voxelio," "we," "us"). By using the Service you agree to these Terms. If you are agreeing on behalf of an organization, you represent that you are authorized to bind it.

The Service

Indelio is a software platform for quality management in regulated life-sciences settings. We grant you a non-exclusive, non-transferable right to access and use the Service during your subscription, subject to these Terms.

Accounts and responsibilities

You are responsible for your account credentials, for the activity of users under your organization, for assigning roles appropriately, and for the accuracy and lawfulness of the Customer Content you enter. You must keep credentials confidential and use the Service's access controls (including two-factor authentication where offered).

Acceptable use

You agree not to: misuse or attempt to circumvent the Service's security or access controls; upload unlawful or infringing content; interfere with the Service's operation; or use the Service to violate applicable law. You are responsible for determining that the Service is appropriate for your intended use.

Orders, trials, subscriptions, and fees

Your order is your subscription document. You subscribe by accepting an order: the order form on our website, or an order we agree with you in writing. The exact text of an order accepted online is recorded when you accept it, and it states your plan, prices, billing period and any onboarding fee. Where these Terms and your order differ about your subscription, your order governs. Onboarding, validation and any additional services are provided at the fees and on the terms in your order or presented to you before the work.

Plans. You can subscribe to a package (every module) or to one or more sets of modules. Every set includes users, electronic signatures, the audit trail, export, import and help. When the sets you choose add up to the Starter package's price at the same rate and billing period, your order is for Starter, with every module and Starter's onboarding fee.

Trials that take a card. A trial ordered online gives you every module for 30 days from the day your environment is set up. Our payment processor saves your card when you order, and nothing is charged then. Unless you cancel before the trial ends, your card is charged on its last day for the plan in your order, and then every billing period until you cancel. We email your administrators 7 days and 1 day before that first charge. An administrator can cancel at any time before it, from Settings → Billing or by emailing us. If that first charge is declined, we try again on each of the next two days and you keep access meanwhile; if it has not succeeded after that, access is suspended as it is for any ended trial, and your records are kept. A trial we set up without taking a card ends without any charge. Trials may otherwise be modified or ended.

The founding rate. The founding rate is available to our first three paying customers and to members of our Founding Partner Program. A place is taken by a successful first payment. A customer charged the founding rate keeps it for as long as they stay subscribed, including when they change plan, up or down: the new plan is charged at its own founding price, and no new place is taken. A payment that fails and is then recovered by our payment processor's automatic retries does not lose it. If the subscription ends, the founding rate is kept only if the same organization resubscribes within 30 days of the day it ended; after that it is lost for good, for members of the Founding Partner Program too, and the place it used is not reopened.

Changing plan. An administrator can change the plan of an active subscription from Settings → Billing, on the same billing period, by accepting the plan change shown there. The difference in price for the rest of the current billing period is charged at once; if the new plan costs less, the difference is credited against later bills and is not paid out. Moving to a plan with a higher onboarding fee charges the difference from the onboarding already paid; onboarding is not refunded on a move to a smaller plan.

Fees and payment. Fees are in US dollars, exclude any taxes that apply, and are charged in advance for each billing period through our payment processor, Stripe. An onboarding fee is charged with the first payment. Fees are due as stated; published pricing may change prospectively.

Cancelling and refunds. You can cancel at any time by emailing us, or — for a trial — from Settings → Billing. A monthly subscription ends at the end of the month already paid for. If you paid yearly and cancel part-way through the year, we refund the months you have not used, with the months you did use re-priced at the monthly rate; a refund is never less than zero. Onboarding fees, and onboarding or qualification hours already worked, are not refunded.

Modules outside your plan, and payments that fail. A module that is not part of your plan is read-only: you cannot create or change records in it, but everything already recorded in it stays readable and exportable. If a payment cannot be taken after our payment processor's retries, or your subscription ends, every module becomes read-only in the same way. Nothing is hidden or deleted.

Intellectual property

We and our licensors own the Service, including its software, design, and documentation. You own your Customer Content. You grant us the limited right to host and process Customer Content solely to provide the Service. Feedback you provide may be used to improve the Service without obligation to you.

Customer data

We handle Customer Content as described in our Privacy Policy. You are responsible for maintaining the quality records you are legally required to keep, and for exporting your data before termination.

Compliance disclaimer

The Service provides tools and controls designed to support 21 CFR Part 11, GAMP 5, and related requirements. We do not guarantee any regulatory outcome, clearance, inspection result, or that use of the Service alone makes your organization compliant. Compliance depends on your own procedures, decisions, validation, and use. A system is "validated" only once its complete validation package — the validation plan, the user and functional requirements, the risk assessment, IQ, OQ and PQ, the traceability matrix and the validation report — is executed and approved for your instance.

Warranties and disclaimer

The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability

To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, or consequential damages, and our total liability arising out of or relating to the Service will not exceed the fees you paid for the Service in the twelve (12) months before the event giving rise to the claim.

Term and termination

These Terms apply while you use the Service. Either party may terminate as provided in your order and in these Terms; on termination your right to access the Service ends. When a subscription ends, the Service first makes your modules read-only rather than removing access, so your records stay readable and exportable.

Export your data before your access ends. The Service provides an export you can run yourself: one file per record type — including versions, signatures and the audit trail — a manifest naming anything the export could not include, and a check of the audit trail's hash chain, so the export can be verified by someone with no access to Indelio at all. Attached files are included where size allows, and otherwise listed in the manifest with their content hashes, so you can tell exactly what you hold. Run it while you still have access.

Quality records are not deleted when your subscription ends. The Service is append-only: quality records, electronic signatures and the audit trail cannot be edited or deleted from inside the Service, by you or by us, and that does not change when your subscription does. A file attached to a record is not held by that control: while a record is open an authorised user can detach one, and the audit trail records that it happened. Once the record is locked, the Service refuses the removal and records the refused attempt instead. This is a record-integrity control for 21 CFR Part 11 and ISO 13485. It is not a statement of how long we will host your data. Our Privacy Policy sets out what this means for personal data and how to raise an erasure request.

Governing law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of- laws rules, with venue in Sarasota County, Florida.

Changes to these Terms

We may update these Terms; we will change the effective date above and, for material changes, provide reasonable notice. Continued use after changes take effect constitutes acceptance.
