Terms of Service

_Effective July 14, 2026_

These Terms of Service ("Terms") govern your use of the Indelio platform (the "Service"), operated by Reshawn Holdings LLC d/b/a Voxelio AI ("Voxelio," "we," "us"). By using the Service you agree to these Terms. If you are agreeing on behalf of an organization, you represent that you are authorized to bind it.

The Service

Indelio is a software platform for quality management in regulated life-sciences settings. We grant you a non-exclusive, non-transferable right to access and use the Service during your subscription, subject to these Terms.

Accounts and responsibilities

You are responsible for your account credentials, for the activity of users under your organization, for assigning roles appropriately, and for the accuracy and lawfulness of the Customer Content you enter. You must keep credentials confidential and use the Service's access controls (including two-factor authentication where offered).

Acceptable use

You agree not to: misuse or attempt to circumvent the Service's security or access controls; upload unlawful or infringing content; interfere with the Service's operation; or use the Service to violate applicable law. You are responsible for determining that the Service is appropriate for your intended use.

Trials, subscriptions, and fees

Free trials are provided for evaluation and may be modified or ended. Paid subscriptions, onboarding, validation, and any additional services are provided at the fees and on the terms presented to you (for example, on our pricing page or in an order). Fees are due as stated; published pricing may change prospectively.

Intellectual property

We and our licensors own the Service, including its software, design, and documentation. You own your Customer Content. You grant us the limited right to host and process Customer Content solely to provide the Service. Feedback you provide may be used to improve the Service without obligation to you.

Customer data

We handle Customer Content as described in our Privacy Policy. You are responsible for maintaining the quality records you are legally required to keep, and for exporting your data before termination.

Compliance disclaimer

The Service provides tools and controls designed to support 21 CFR Part 11, GAMP 5, and related requirements. We do not guarantee any regulatory outcome, clearance, inspection result, or that use of the Service alone makes your organization compliant. Compliance depends on your own procedures, decisions, validation, and use. A system is "validated" only once IQ/OQ/PQ are executed and signed against your instance.

Warranties and disclaimer

The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability

To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, or consequential damages, and our total liability arising out of or relating to the Service will not exceed the fees you paid for the Service in the twelve (12) months before the event giving rise to the claim.

Term and termination

These Terms apply while you use the Service. Either party may terminate as provided in your subscription; on termination your right to use the Service ends and we make your data available for export in the ordinary course before deletion.

Governing law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of- laws rules, with venue in Sarasota County, Florida.

Changes to these Terms

We may update these Terms; we will change the effective date above and, for material changes, provide reasonable notice. Continued use after changes take effect constitutes acceptance.
